Terms of Service

1. Acceptance of Terms

By accessing or using the Ops2Sell platform ("Service"), operated by Ops2Sell Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to all terms, you must not use the Service.

2. Service Description

Ops2Sell is a cloud-based ecommerce operations platform that provides inventory management, order processing, multi-channel integration, warehouse management, shipping, analytics, and AI-powered insights. The Service is offered as a Software-as-a-Service (SaaS) solution.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using Ops2Sell on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account. Notify us immediately of any unauthorised access.

5. Subscriptions & Billing

Paid plans are billed monthly or annually in advance. You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Downgrades and cancellations take effect at the end of the current billing period. Refunds are handled on a case-by-case basis within 14 days of payment.

6. Data Ownership

You retain full ownership of all data you upload to Ops2Sell. We do not claim any intellectual property rights over your business data. You grant us a limited licence to process your data solely for the purpose of providing and improving the Service.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload illegal, harmful, or infringing content; (c) attempt to gain unauthorised access to any part of the Service; (d) interfere with or disrupt the Service; (e) use automated means to access the Service except through our published APIs.

8. Third-Party Integrations

The Service integrates with third-party platforms (including but not limited to WooCommerce, Shopify, Amazon, eBay, Etsy, TikTok Shop, OnBuy, Fruugo, and ManoMano). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or performance of third-party services.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our reasonable control.

10. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of Ops2Sell Ltd and is protected by applicable copyright, trademark, and other laws. You may not copy, modify, or reverse-engineer any part of the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Ops2Sell is provided "as is" without warranty of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your access if you breach these terms. Upon termination, you may request export of your data within 30 days. After 30 days, we may delete your data in accordance with our data retention policy.

13. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
